The Corporate Development Manager will play a pivotal role in executing Epika Fleet Services' acquisition strategy, leading deals from sourcing to integration. This position requires a highly analytical and detail-oriented professional who can manage multiple transactions simultaneously while ensuring a seamless process from initial outreach to post-close integration.
The ideal candidate will work closely with senior leadership, private equity sponsors, and external advisors (including quality of earnings (QoE) consultants, tax diligence teams, and legal counsel) to assess opportunities, structure transactions, and drive successful acquisitions. Beyond executing deals, the Corporate Development Manager will contribute to strategic growth initiatives, helping refine Epika’s M&A roadmap and evaluating potential market expansion opportunities.

This position will be working Eastern/Central time zones.
M&A Strategy & Deal Execution
• Source, evaluate, and execute potential acquisition opportunities aligned with Epika’s strategic vision.
• Lead the M&A deal lifecycle, from early discussions and valuation through negotiation, diligence, closing, and integration.
• Manage a robust deal pipeline, tracking targets, assessing fit, and prioritizing opportunities based on financial and strategic merits.
• Conduct competitive and industry analysis to identify potential targets and evaluate market trends.
Financial Analysis & Valuation
• Develop financial models, including: - Comparable company analysis - Accretion/dilution modeling to assess deal impact
• Assess the financial and operational performance of target companies, identifying risks and synergies.
• Provide data-driven recommendations to leadership on potential acquisitions, structuring, and value creation opportunities.
Due Diligence & Transaction Management
• Oversee the due diligence process, coordinating with external advisors for: - Quality of Earnings (QoE) analysis - Tax diligence and structuring - Legal review and contract negotiations
• Work closely with finance, legal, and operations teams to evaluate risks and ensure smooth execution of transactions.
• Identify and proactively mitigate financial, legal, and operational risks associated with acquisitions.
Stakeholder Communication & Presentation
• Prepare investment memos and presentations for senior leadership and private equity sponsors.
• Communicate key findings and recommendations in clear, concise, and actionable reports.
• Act as a key liaison between internal teams, external advisors, and target companies, ensuring alignment and timely execution of deal milestones.
Post-Close Integration & Value Creation
• Work with finance, operations, and IT teams to ensure a smooth post-merger integration process.
• Monitor the performance of acquired companies against key financial and operational targets.
• Assist in developing post-close reporting and analysis to measure deal success and identify optimization opportunities.
Experience & Background
• 3-6 years of experience in investment banking, private equity, corporate development, or transaction advisory (Big 4, M&A consulting, etc.).
• Prior experience leading or supporting M&A transactions in a fast-paced, deal-driven environment.
• Strong background in financial modeling, valuation methodologies, and due diligence.
Technical & Analytical Skills
• Advanced proficiency in Excel and financial modeling (DCF, LBO, accretion/dilution, three-statement models).
• Strong understanding of accounting, financial statement analysis, and corporate finance principles.
• Ability to assess strategic fit, synergies, and risk factors for acquisition targets.
• Experience with M&A transaction structuring, tax considerations, and legal documentation is a plus.
Project Management & Execution
• Strong ability to manage multiple deals simultaneously, balancing speed and accuracy.
• Experience working with external advisors, including legal, accounting, and diligence consultants.
• Highly organized, process-driven, and detail-oriented, with a track record of successfully driving deals to close.
Soft Skills & Leadership
• Excellent written and verbal communication skills, with experience presenting to senior executives and investors.
• Ability to work effectively cross-functionally, influencing stakeholders and managing competing priorities.
• Strong problem-solving skills and the ability to thrive in an ambiguous, high-pressure environment.
• Prior experience in industrial services, trucking, or fleet maintenance is a plus but not required.
